THIS AGREEMENT
is made the day of two thousand and
four
BETWEEN
the Author and the Casino
WHEREBY
1 IN this Agreement where the context so admits the following words and expressions shall have the following meanings that is to say
"The Author" shall mean " of 105 Overdale Road.
Quinton, Birmingham, B32 2Qr ENGLAND, UK."
"The Casino" shall mean "

"The Games" shall mean
"Casino Hold’em Poker™,
devised by the Author and
described and defined in the Schedule
to include any minor variation to any of
them"
"The IP rights" shall mean "the Author's Intellectual Property Rights in the Games"
"A cloth" shall mean, "any cloth designed by the Author for use in the exploitation of the Games"
"The start date" shall mean "the day of two thousand and three"
"The trial period" shall mean "the period of three months from the start date"
"The Licence fee" shall mean "the sum of ______ hundred US dollars ($ _____ ) (or UK Pound equivalent at the date of payment) payable by the Casino to the Author every three months during the life of this agreement for each cloth (other than replacement cloths) supplied by the Author"

2 THIS
Agreement replaces all previous agreements between the parties hereto
3 THE Author has supplied the Casino with one or more cloths for the Game of Casino Hold’em Poker™ as described in the Schedule for use by the Casino during the trial period immediately after which the Casino must return all such cloths to the Author or alternatively request the Author to grant to the Casino a licence on the following terms
4 IN the event of the Casino requiring the Author to Grant a Licence to exploit the Game then and in such case and in consideration of and upon payment of the first instalment of the Licence fee the Author HEREBY GRANTS a Licence to the Casino to use and exploit the Game called Casino Hold’em Poker™ at one table for each cloth supplied by the Author PROVIDED that if the Casino so desires it may exploit the Game on additional tables paying a further Licence fee for each extra cloth supplied
5 THE Author will supply 2 (Two) replacement cloth every year following the receipt of which the Casino will immediately return the old cloth to the Author
6 THE Casino will at all times respect the IP rights and will not do or procure or permit anything to be done that will diminish or affect or tend to diminish or affect the IP rights at any time whether or not this Agreement shall remain in force
7 THIS Agreement shall terminate but without prejudice to any pre-existing rights of either of the parties hereunder (a) three years from the termination of the trial period; (b) in the event of bankruptcy or insolvency of the Casino; (c) in the event of breach by the Casino of its obligations hereunder ;(d) upon the casino giving to the author three months notice in writing of termination of this agreement
8 UPON termination of this Agreement the Casino will return all cloths to the Author
9 THE Casino will not exploit the Games or any of them except by using or playing on the cloth or cloths supplied by the Author
10 NOT WITH STANDING Clause 7(b) hereof the Casino may elect to extend this Agreement for a further period of three years by giving notice at any time to the Author and in such case this Agreement shall remain in force and on the same terms except that the Licence fee shall be increased by ten per cent (10%) on the Licence fee last paid
11 THE Grant of this Licence is personal to the Casino and the Casino may not sell assign or otherwise dispose of its rights hereunder to any third party
12 THIS Agreement shall be governed by and implemented and interpreted in accordance with English Law

Description of Casino Hold'em Poker
The game is played with a standard pack of
playing cards.
All hands are ranked in
normal poker order that is Royal Flush down to Ace high. Each player places a
bet in front of him (the ante).
The dealer deals, one at a time and face down, two cards to each player and to
himself followed by three (of five) community cards face up.
Each player has the option
of passing his cards thereby losing his ante or of playing on i.e. calling the
hand by placing chips, tokens or money equal to twice the value of the ante in a
separate call box.
Each calling player is playing against the dealer only and not against the
other players. Two more cards are dealt face up and the five exposed cards are
used by both the dealer and all calling players to determine the payout if
any.
The hands of the dealer and all callers are now exposed and compared to
determine the better poker hand using the most favourable five cards from the
community cards and each of the two dealt cards.
If the dealer's hand is lower than a pair of fours the dealer will pay each calling player the amount of the ante.
If the dealer's hand is a pair of fours or better the dealer is said to qualify and will pay all better hands at even money the value of the ante and the call bets and will collect all losing ante and call bets.
Whether or not the dealer qualifies bonus payments will be paid to any player whose hand is better than that of the dealer and who achieves:
Royal flush (100 to1); Straight flush (20 to1); four of a kind (10 to1); Full house (3 to1) Flush (2 to1).
All odds for bonus payments are based on the ante stake.
